Terms of Service

By creating an account, clicking to accept, placing an order, using the Services, or accessing any protected portion of the platform, you agree to these Terms. If you do not agree, do not use the Services.

The Services are intended for business and professional use. You may not use the Services if you are prohibited from doing so under applicable law or if your use would violate messaging platform requirements.

Noxivo provides a hosted software platform for agency and tenant workspace management, messaging operations, contact and CRM context, workflow automation, analytics, and third-party integrations.

Some features may integrate with third-party messaging channels, social platforms, telecom providers, storage providers, or business tools. Availability and functionality may vary by deployment, geography, plan, provider approval, and technical constraints.

You are responsible for:

• maintaining accurate account information;
• protecting passwords, API keys, webhook secrets, OAuth tokens, and other credentials;
• ensuring only authorized users access the Services;
• promptly notifying Noxivo of suspected unauthorized access or misuse; and
• all activity conducted through your account or workspace hierarchy.

You may not use the Services to:

• send unlawful spam, abusive campaigns, malware, or deceptive communications;
• violate privacy, consumer-protection, telecom, sanctions, export-control, or data-protection law;
• scrape, disrupt, overload, reverse engineer, or compromise the Services or related infrastructure;
• impersonate persons or entities or misrepresent your authority to contact recipients;
• process data you are not authorized to process; or
• facilitate harassment, fraud, hate, child exploitation, or other unlawful or harmful content.

You may connect or use the Services with third-party platforms, including messaging, social, CRM, storage, identity, and billing providers. Examples may include WhatsApp and, where separately enabled or supported, Facebook, Instagram, TikTok, or similar external services.

When you use third-party integrations or channels:

• you remain responsible for complying with the terms, policies, rate limits, and approval requirements of those third parties;
• Noxivo is not responsible for outages, suspensions, API changes, enforcement actions, or policy decisions imposed by those third parties;
• third-party providers may access or receive data as necessary to deliver the connected functionality; and
• Noxivo may disable or limit an integration if required by law, security, or provider terms.

You retain ownership of the content, contact data, messages, media, CRM notes, workflow inputs, and other information you submit to the Services ("Customer Data"). You grant Noxivo a limited right to host, process, transmit, back up, analyze, and display Customer Data as needed to operate, secure, support, and improve the Services and comply with legal obligations.

Some Services require payment. If you purchase a paid plan, you agree to the applicable pricing, billing cadence, auto-renewal terms, taxes, and usage charges presented at purchase or in the applicable Order Form.

Noxivo may suspend paid features for non-payment, abusive usage, or legal or security risk.

Noxivo and its licensors own the Services, software, interfaces, branding, documentation, and related intellectual property, excluding Customer Data. These Terms do not grant you ownership of the Services.

You may not copy, modify, distribute, reverse engineer, create derivative works from, or misuse the Services except as expressly permitted by applicable law or a written agreement with Noxivo.

Noxivo may offer alpha, beta, preview, or experimental features. Those features are optional, may change or be discontinued at any time, and may be subject to additional limitations or confidentiality requirements.

Noxivo may suspend or terminate access immediately if it reasonably believes:

• you violated these Terms or applicable law;
• your use creates security, privacy, fraud, or platform-policy risk;
• a third-party provider requires enforcement action; or
• payment is overdue after notice and any applicable cure period.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOXIVO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE.

NOXIVO DOES NOT WARRANT THAT ANY THIRD-PARTY INTEGRATION, SOCIAL PLATFORM, MESSAGE CHANNEL, OR PROVIDER API WILL REMAIN AVAILABLE OR APPROVED FOR YOUR USE CASE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOXIVO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOXIVO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO NOXIVO FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR USD $100 FOR FREE OR TRIAL USERS.

The limitation cap does not apply to:

• Customer's payment obligations;
• either party's fraud, willful misconduct, or gross negligence to the extent such carve-outs are not waivable;
• Customer's misuse of the Service in violation of law or platform policies; or
• infringement or misappropriation caused by Customer modifications or unauthorized combinations.

You will defend, indemnify, and hold harmless Noxivo and its affiliates, officers, employees, and agents from third-party claims arising out of or relating to:

• your Customer Data;
• your messaging campaigns or outreach practices;
• your breach of these Terms;
• your violation of law or third-party platform rules; or
• your negligent or wrongful conduct.

These Terms are governed by the laws of the Socialist Republic of Vietnam, excluding conflict-of-law rules. The courts located in Ho Chi Minh City, Vietnam will have exclusive jurisdiction over disputes arising from these Terms or the Services, except that Noxivo may seek urgent equitable relief in any court of competent jurisdiction to protect security, confidential information, or intellectual property.

Noxivo may update these Terms from time to time. Material changes will take effect after reasonable notice. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
